ASD 123 Inc.

Please read these Terms of Service carefully before using the ASD-123 mobile application.

1. Acceptance of Terms

By accessing or using the ASD-123 mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and ASD 123 Inc. ("Company," "we," "us," or "our").

2. Eligibility

You must be at least 18 years old to create an account and use the App. By creating an account, you represent and warrant that you are at least 18 years of age.

If you are creating an account to manage a student's use of the App, you represent that you are the parent, legal guardian, or authorized clinician of that student.

3. Subscription Terms

3.1 Free Trial

New users may be eligible for a 1-month free trial period. After the free trial period ends, your subscription will need to be converted to a paid subscription to retain service access

3.2 Subscription Required

Access to the App's features requires an active subscription after the free trial period ends. Subscription fees are charged on a recurring basis according to your selected billing cycle (monthly or annually).

3.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel auto-renewal at least 24 hours before the end of the current period. You will be charged for renewal within 24 hours prior to the end of the current period.

3.4 Managing Subscriptions

Subscriptions are managed through the App Store (iOS) or Google Play Store (Android). To cancel or modify your subscription, you must do so through your App Store or Google Play account settings. We cannot manage subscriptions on your behalf.

3.5 Refunds

Refund policies are determined by the platform through which you purchased your subscription (Apple App Store or Google Play Store). Please refer to the respective platform's refund policy for information about obtaining refunds. We do not process refunds directly.

4. Clinician/SLP Accounts

4.1 Purpose

Speech-language pathologists (SLPs) and other qualified clinicians may create accounts to guide students and monitor their progress through the App.

4.2 Professional Responsibility

Clinicians are solely responsible for all professional decisions made in connection with their use of the App, including but not limited to:

Clinicians must obtain proper consent from parents or legal guardians before creating student profiles or accessing student data through the App. Clinicians are responsible for maintaining appropriate documentation of such consent.

4.4 No Provider-Patient Relationship

The App does not create or establish any provider-patient relationship between clinicians and students. Any such relationship exists independently of the App based on the clinician's professional practice.

5. Voice Processing and Data

5.1 Voice Input

The App uses voice recognition technology to provide interactive exercises. When you or a student speaks during an exercise, the App processes the voice input to evaluate and emulate responses.

5.2 No Audio Storage

We do not store voice recordings. Audio recordings are processed in real-time or temporarily cached for processing purposes only, and are immediately deleted after transcription.

6. Educational Purpose and Disclaimers

6.1 Educational Tool

The App is an educational tool designed to support speech and language development. It is not a substitute for professional medical advice, diagnosis, or treatment.

6.2 Not Medical Advice

The App does not provide medical advice. Content provided through the App, including exercises, feedback, and progress reports, is for educational and informational purposes only.

6.3 No Medical Professional Relationship

Use of the App does not create a provider-patient relationship between you and the Company. Always seek the advice of qualified healthcare providers with questions regarding medical conditions or treatment.

6.4 No Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. HIPAA

The Company is not a HIPAA Business Associate unless a separate written Business Associate Agreement (BAA) has been executed between you and the Company. In the absence of a signed BAA, the Company is not subject to HIPAA requirements with respect to data processed through the App.

If you are a covered entity under HIPAA and wish to use the App in a manner that requires a BAA, please contact us at privacy@asd-123.com to discuss a separate agreement.

8. User Conduct and Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

9. Intellectual Property

9.1 Ownership

The App and all content, features, and functionality, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of ASD 123 Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

9.2 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for its intended purpose. This license does not include any right to:

You retain ownership of any content you submit through the App. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the App.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us at support@asd-123.com or by deleting your account through the App settings. Upon termination, your right to use the App will immediately cease.

We reserve the right to suspend or terminate your account and access to the App at any time, with or without notice, for any reason, including but not limited to:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ASD 123 INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE APP EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless ASD 123 Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13.2 Jurisdiction

You agree to submit to the personal jurisdiction of the state and federal courts located in Delaware for the purpose of litigating all such claims or disputes.

13.3 Waiver of Class Actions

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email (if you have provided an email address) or through the App. Your continued use of the App after such modifications constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically for any changes. The "Last Updated" date at the top of this page indicates when these Terms were last revised.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ASD 123 Inc. regarding the use of the App and supersede all prior agreements and understandings.

17. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
